DEFINITIONS AND INTERPRETATIONS

"Capitalized terms used herein without prior definition have the following meanings:

""Customer"" means a natural person of legal age, acting for their own personal needs and having full legal capacity to enter into a commitment under this agreement.

""Terms of Sale for the Reserved Rate"" means the specific terms and conditions of each reservation made by the Customer.

""Booking Confirmation"" means the document summarizing the details of the reservation made by the Customer, sent to the Customer by the Website or the Hotel.

""Booking Request"" means any hotel room reservation request made by the Customer.

""Hotel"" means the LAZ' Hôtel Spa Urbain hotel, operated by SASU HOTEL 17 MILAN with a capital of €30,000, whose registered office is located at 3 Place de la Trinité, 35000 Rennes, registered with the Rennes Trade and Companies Register under number 815 237 599.

""Partners"" means all service providers who have entered into a service contract or partnership agreement with the Hotel.

""Service"" means any hotel room reservation service and related services offered by the Guest on the Hotel's website.

""Hotel Website"" means the Hotel's dedicated website accessible at the following address: https://www.lazhotelparis.com"

Article 01. SCOPE OF APPLICATION

These General Terms and Conditions of Sale apply, without restriction or reservation, to any purchase of hotel room reservation services and related services (the ""Services"") offered by the Hotel (the ""Hotel"") to consumers and customers (the ""Customers"" or the Customer) on the Hotel's website.

The main features of the Services are presented on the Hotel's website.

The Customer is required to read them before making any reservation. The selection and purchase of a Service is the Customer's sole responsibility.

The Customer declares:

- To have full legal capacity to enter into these General Terms and Conditions of Sale.

- To make the reservation of hotel rooms and related services for their personal needs.

- To be able to save and print these General Terms and Conditions of Sale.

These terms and conditions apply to the exclusion of all other terms and conditions, including those applicable to other sales channels for the Services.

The Guest is hereby informed that the Hotel enters into partnership agreements with third-party travel providers to enable the Guest, using the services offered by these partners on their websites, to search for, select, and book rooms at the Hotel. Any hotel room reservation made under these conditions implies the Guest's full and unreserved consultation and acceptance of the Partner's general terms and conditions of sale, the terms and conditions of sale for the reserved rate, and these general terms and conditions of sale.

These General Terms and Conditions of Sale are accessible at any time on the Hotel's website and will prevail, where applicable, over any other version or any other contradictory document. Unless proven otherwise, the data recorded in the Hotel's computer system constitutes proof of all transactions concluded with the Guest. Thus, the entry of banking information, acceptance of the General Terms and Conditions of Sale, the Terms and Conditions of Sale for the reserved rate, the Reservation Request, and the Reservation Confirmation have the same value between the Hotel and the Guest as a handwritten signature on paper. The computerized records stored in the Hotel's computer systems will be kept under reasonable security conditions and considered as proof of communication, orders, and payments between the Hotel and the Guest.

The Hotel ensures that the written record confirming the conclusion of the contract, whether electronic or paper, is retained for a maximum period of 5 years. Guests are informed that their IP address is recorded at the time of booking. In accordance with the French Data Protection Act of January 6, 1978, as amended, the Customer has the right to access, rectify, and object to all of their personal data at any time by writing, providing proof of identity, by email to rgpd@suitcase-hospitality.com or by writing to:

These General Terms and Conditions of Sale also include the Privacy and Personal Data Protection Policy and the hotel's Internal Regulations. The Customer declares that they have read and accepted these General Terms and Conditions of Sale (including the Privacy and Personal Data Protection Policy and the Hotel's Internal Rules) by checking the box provided for this purpose before starting the online booking process, as well as the General Terms and Conditions of Use of the Hotel's website.

The Customer's confirmation of the reservation of Services constitutes acceptance without restriction or reservation of these General Terms and Conditions of Sale (including the Privacy and Personal Data Protection Policy and the Hotel's Internal Rules).

The Customer acknowledges that they have the necessary capacity to contract and purchase the Services offered on the Hotel's website.

As these General Terms and Conditions of Sale may be subject to subsequent amendments, the version applicable to the Customer's purchase is the one in effect on the website on the date of the reservation.

These General Terms and Conditions of Sale are applicable for the duration that the services offered by the Hotel are online on the Hotel's website. The Hotel reserves the right to temporarily or permanently close access to its website.

Article 02. RESERVATIONS

The Guest selects the services they wish to book on the website, according to the following procedures:

1. Selection of room type and rate

2. Selection of additional services, if applicable

3. Verification and validation of the reservation details, the total amount, and the rate conditions

4. Provision of contact information

5. Review and acceptance of the general terms and conditions of sale and the conditions of the selected rate prior to confirming the reservation

6. Entry of credit card details in the event of a guarantee or prepayment

7. Confirmation of the reservation

The Guest acknowledges having read the nature, purpose, and reservation terms of the Services offered by the Hotel and having requested and obtained the necessary information to make their reservation with full knowledge of the facts. They are solely responsible for their choice of services and their suitability for their needs, and the Hotel cannot be held liable in this regard.

The Customer agrees to complete the information requested in the reservation request and attests to the truthfulness and accuracy of the information provided.

The contractual information is presented in French and is subject to confirmation at the latest upon confirmation of the reservation by the Customer.

For reservations made exclusively online, a reservation on the Hotel's Website is confirmed when the Customer accepts these General Terms and Conditions of Sale by checking the box provided for this purpose and confirms their reservation. The Customer has the opportunity to review the details of their reservation, its total price, and correct any errors before confirming their acceptance (Article 1127-2 of the Civil Code). This confirmation implies acceptance of these General Terms and Conditions of Sale in their entirety and constitutes proof of the sales contract.

It is therefore the Customer's responsibility to verify the accuracy of the reservation and to immediately report any errors.

The sale of Services will only be considered final after the Hotel and its Partners have sent the Guest confirmation of acceptance of the reservation by email and after the latter has received payment in full.

Any reservation made on the Hotel's Website constitutes the formation of a remote contract between the Guest and the Hotel.

The Hotel reserves the right to cancel or refuse any reservation from a Guest with whom there is a dispute regarding payment for a previous reservation.

Each reservation is personal and may not be transferred to a third party under any circumstances. Cancellation of a Flexible Rate Reservation:

In the event of cancellation of a Flexible Rate reservation by the Guest after its acceptance by the Hotel after 6:00 PM on the day of arrival, for any reason whatsoever, an amount corresponding to the total amount of the first night's stay will automatically be retained by the Hotel and invoiced to the Guest as compensation for the loss suffered.

Cancellation/Modification of a Non-Cancellable Non-Refundable Rate Reservation:

In the event of cancellation or modification of a Non-Cancellable Non-Refundable Rate reservation by the Guest, for any reason whatsoever, an amount corresponding to 100% of the total prepaid amount will automatically be retained by the Hotel and invoiced to the Guest. The same shall apply in the event of a no-show by the Guest on the scheduled arrival date.

Article 03. RATES

The Services offered by the Hotel are provided at the rates in effect on the Hotel's website at the time the reservation is made by the Hotel. Prices are expressed in Euros, excluding and including VAT.

Rates take into account any discounts that may be granted by the Hotel under the conditions specified on the Hotel's website.

These rates are fixed and cannot be revised during their validity period, as indicated on the Hotel's website. The Hotel reserves the right to modify prices at any time outside this validity period.

Rates are indicated before and at the time of the reservation made by the Guest. They are per room for the number of people and the date selected.

Rates do not include the tourist tax, payable directly on site to the Hotel.

The Guest agrees to pay these various taxes to the Hotel without any dispute. The payment requested from the Guest corresponds to the total amount of the purchase, excluding this Tax. Unless otherwise stated on the Hotel's Website, additional services (breakfast, etc.) are not included in the price.

Rates are confirmed to the Guest inclusive of all taxes (excluding tourist taxes) in the Hotel's trading currency. They include VAT at the rate applicable on the day of booking; any change in the applicable VAT rate will be automatically reflected in the rates indicated on the invoice date. The same shall apply to any changes or introduction of new legal or regulatory taxes imposed by the competent authorities.

The conversion into foreign currency is provided for informational purposes only and is not contractually binding. If a rate involves payment directly to the Hotel upon arrival or departure of the Customer and the Customer's currency is not the same as that of the Hotel, the rate charged by the Hotel may be different from that communicated at the time of booking, taking into account the evolution of the exchange rate between the booking date and the payment date. An invoice is drawn up by the Hotel and given to the Customer upon provision of the reserved Services"

Article 04. PAYMENT TERMS

"The hotel requires a €150 security deposit upon arrival to cover any extras (bar, room service, boutique, etc.) or damages. This security deposit can be paid by credit card or cash and will be returned upon departure. The hotel reserves the right to refuse access to any guest who is unable to provide this security deposit.

In case of cash payment on the day of booking (Non-Cancellable, Non-Refundable Rate)

The price is payable in full in cash on the day the booking is confirmed by the guest, according to the terms and conditions specified in the ""Reservations"" section above, via secure payment methods:

- by credit cards: Visa, MasterCard, American Express, Maestro.

When booking, the Guest provides their bank details, including the name of the credit card, the credit card number, the expiration date (the credit card must be valid until the end of the stay), and the security code.

Payment information is exchanged in encrypted mode using SSL protocol. The Guest will arrive at the Hotel with the credit card used to pay for the reservation. They may be asked to provide proof of identity as part of bank card fraud prevention procedures.

The Hotel shall not be required to provide the Services ordered by the Guest if the price has not been previously paid in full under the conditions indicated above.

Payments made by the Guest shall only be considered final after the amounts due have been effectively collected by the Service Provider.

In the event of cash payment upon provision of services (Flexible Rate)

The price is payable in cash, in full, on the day the reserved Services are provided, under the conditions defined in the ""Provision of Services"" section below and as indicated on the invoice provided to the Guest, by secure payment:

- by bank cards: Visa, MasterCard, American Express, Maestro.

Payment information is exchanged in encrypted mode using the SSL protocol. The Hotel will ask the Guest, upon arrival, to pay a security deposit or authorize the debit of their bank card, to guarantee payment of the amounts corresponding to the services consumed on site.

The Guest will then provide their bank details, specifying the name of the bank card, the bank card number, the expiration date (the bank card must be valid until the end of the stay), and the security code.

The Guest may be asked to provide proof of identity as part of bank card fraud prevention procedures. The hotel shall not be required to provide the Services ordered by the Customer if the price has not been paid in full in advance under the conditions indicated above.

Payments made by the Customer shall only be considered final after the amounts due have been received by the Service Provider.

In the event of a reservation for multiple rooms

If the Customer reserves multiple rooms but prepayment is only required for one room, for example, in this case, the payment card used on the payment platform will be used to pay for the room for which the prepayment was made, and the payment card entered will serve as a guarantee for the other rooms.

Article 05. PROVISION OF SERVICES

The Services reserved by the Customer, which include hotel room reservation services and related services, will be provided according to the following terms and conditions, under the conditions set out in these General Terms and Conditions of Sale, supplemented by the Terms and Conditions of Sale for the reserved Rate, which the Customer has read and accepted when booking on the Hotel's Website.

Upon arrival, the Customer will be asked to present their ID to ensure they fulfill their obligation to complete a Police Form.

Unless expressly stated otherwise, the Room will be made available to the Customer on the day of arrival at 3:00 p.m. and the Customer will vacate the room on the day of departure at 12:00 p.m. Otherwise, an additional night's stay will be charged. The Customer must verify their departure date. In the event of early departure, a fee equivalent to one night's stay will be charged, unless the Customer has notified the Hotel at least 24 hours prior to departure (except in the case of a reservation at the Non-Cancellable, Non-Refundable rate). The Hotel undertakes to make its best efforts to provide the Services booked by the Guest, within the framework of a best-efforts obligation.

The Guest will have a period of 8 days from the date of departure from the Hotel to submit, in writing, any reservations or complaints regarding the provision of the Services, with all relevant supporting documentation, to the Hotel.

No complaints will be validly accepted in the event of non-compliance with these formalities and deadlines by the Guest.

In the absence of reservations or complaints expressly expressed within this period by the Guest upon receipt of the Services, these will be deemed to be in accordance with the reservation, in terms of quantity and quality.

In general, the Guest undertakes to comply with the Hotel's Internal Regulations.

In the event of relocation

In the event of an exceptional event, force majeure, or the inability to make the reserved room available to the Customer, the Hotel reserves the right to accommodate the Customer in a hotel of an equivalent category, for services of the same nature, subject to the Customer's prior agreement and without any change in the rate for the Customer.

Article 06. RIGHT OF WITHDRAWAL

In accordance with Article L 221-28 of the French Consumer Code, the Customer does not have the right of withdrawal provided for in Article L 221-18 of the French Consumer Code, given the nature of the services provided.

The contract is therefore definitively concluded upon the Customer's reservation, in accordance with the terms and conditions specified in these General Terms and Conditions of Sale.

Article 07. RESPONSIBILITY OF THE SERVICE PROVIDER - GUARANTEE

The Hotel guarantees the Guest, in accordance with legal provisions and without additional payment, against any lack of conformity or hidden defect resulting from a failure to perform the Services booked and actually paid for under the terms and conditions defined in these General Terms and Conditions of Sale.

The Services provided through the Hotel's Website comply with the regulations in force in France. The Hotel shall not be held liable for non-compliance with the legislation of the country in which the Services are provided, which it is the Guest's responsibility to verify, as they are solely responsible for the selection of the Services requested.

Article 08. DATA PROTECTION AND FREEDOM OF INFORMATION

Pursuant to Law 78-17 of January 6, 1978, as amended, it is recalled that the personal data requested from the Guest is necessary for processing their reservation and issuing invoices, in particular.

This data is processed and intended for the Hotel and may be communicated to its potential partners responsible for the execution, processing, management, and payment of reservations as well as the Guest's stay.

Furthermore, the Hotel may send its newsletter, promotional offers, and a satisfaction questionnaire following their hotel stay by email to its guests who have accepted it.

In accordance with applicable national and European regulations, the Guest has a permanent right of access, modification, rectification, and objection with respect to information concerning them.

This right may be exercised under the conditions specified in Article 1 of these General Terms and Conditions of Sale and according to the terms and conditions defined on the Hotel's website. The Privacy and Personal Data Protection Policy can be viewed on the Hotel’s Website.

Article 09. INTELLECTUAL PROPERTY

The content of the Hotel's website is the property of the Hotel and is protected by French and international intellectual property laws.

Any total or partial reproduction of this content is strictly prohibited and may constitute copyright infringement.

Article 10. LACK OF FORESIGHT

These General Terms and Conditions of Sale expressly exclude the legal regime of unforeseen circumstances provided for in Article 1195 of the Civil Code for all Services provided by the Hotel to the Guest.

The Hotel and the Guest therefore each waive the right to invoke the provisions of Article 1195 of the Civil Code and the regime of unforeseen circumstances provided therein, undertaking to fulfill their obligations even if the contractual balance is upset by circumstances that were unforeseeable at the time the sale was concluded, even if their execution proves excessively onerous, and to bear all the economic and financial consequences thereof.

Article 11. FORCE MAJEURE

The Parties shall not be held liable if the non-performance or delay in the performance of any of their obligations, as described herein, results from a case of force majeure, within the meaning of Article 1218 of the Civil Code.

Article 12. MISCELLANEOUS

These General Terms and Conditions of Sale, the Privacy and Personal Data Protection Policy, the Hotel's Internal Regulations, the Conditions of Sale for the rate reserved by the Guest, the Reservation Request, and the Reservation Confirmation by the Guest, constitute the entire agreement of the parties within the scope of their subject matter. They therefore replace and cancel, within this scope, any prior verbal or written agreement.

No tolerance, regardless of its nature, scope, duration, or frequency, may be considered as creating any right and may not limit in any way the ability to invoke each of the clauses of these General Terms and Conditions of Sale, at any time, without any restriction.

Any clause of these General Conditions of Sale which is declared null or unlawful by a competent judge shall be deprived of effect, but its nullity shall not affect the other stipulations, nor affect the validity of the General Conditions of Sale as a whole or their legal effects.

Article 13. APPLICABLE LAW - LANGUAGE

These General Terms and Conditions of Sale and the transactions resulting therefrom are governed by and subject to French law.

These General Terms and Conditions of Sale are written in French. In the event that they are translated into one or more foreign languages, only the French text shall prevail in the event of a dispute.

Article 14. DISPUTES

Any disputes arising from the purchase and sale transactions concluded pursuant to these General Terms and Conditions of Sale, concerning their validity, interpretation, performance, termination, consequences, and follow-up, which cannot be resolved between the Hotel and the Guest, shall be submitted to the competent courts under the conditions of common law.

The Guest is informed that they may, in any event, resort to conventional mediation, in particular with the Consumer Mediation Commission (Consumer Code, Art. L 612-1) or to any alternative dispute resolution method (e.g., conciliation) in the event of a dispute.

In accordance with Article L. 156-1 of the French Consumer Code, the LAZ' Hôtel Spa Urbain offers its guests a consumer mediation system by adhering to the sectoral mediation system, MTV – MEDIATION TOURISME ET VOYAGE. After contacting the hotel's customer service and in the absence of a satisfactory response within 60 working days, the customer can contact the Tourism and Travel Mediator, whose contact details are ""Médiation Tourisme et VoyageBP 80 303 75 823, Paris Cedex 17"" and the procedures for contacting are available on its website: www.mtv.travel

Article 15. PRE-CONTRACTUAL INFORMATION - CUSTOMER ACCEPTANCE

The Customer acknowledges having received, prior to making their reservation and concluding the contract, in a legible and understandable manner, these General Terms and Conditions of Sale and all the information listed in Article L. 221-5 of the French Consumer Code, and in particular the following information:

- the essential characteristics of the Services, taking into account the communication medium used and the Service concerned;

- the price of the Services and any additional costs;

- in the absence of immediate execution of the contract, the date or period by which the Hotel undertakes to provide the reserved Services;

- information relating to the Hotel's identity, its postal, telephone, and electronic contact details, and its activities, if not apparent from the context;

- information relating to legal and contractual guarantees and their implementation procedures;

- the functionalities of the digital content and, where applicable, its interoperability;

- the possibility of resorting to conventional mediation in the event of a dispute; - information relating to important contractual conditions.

The act of a natural person (or legal entity) booking on the Hotel's Website implies full acceptance and adherence to these General Terms and Conditions of Sale and an obligation to pay for the Services ordered. This is expressly acknowledged by the Customer, who waives, in particular, the right to rely on any contradictory document, which would be unenforceable against the Service Provider.
